// Program Terms
| 1 // | Membership in the Pro Program should be considered a privilege, not a right or entitlement. It is not a partnership between Grivel and Pro Program members. |
| 2 // | The Pro Program membership is for personal use only. Products purchased using your Pro Program membership discount are designated for personal use. |
| 3 // | Resale and/or gifting is prohibited. Unless stated otherwise, the purchase of gifts or resale activity through Pro Program discounts will result in the termination of your Pro Program membership. |
| 4 // | Membership is non-transferable, and discount use is limited to the individual approved member. In the event of a dispute over ownership of a membership, the registration will be declared to have been made by the authorised account holder of the email address submitted at the time of registration, as determined by Grivel. For the purposes of these Terms, the “authorised account holder” is the natural person assigned to the submitted email address by an internet provider, online service provider, or other organisation (business, educational institution, etc.) responsible for assigning email addresses for the domain associated with the submitted email address. |
| 5 // | The Pro Program membership entitles you to a maximum of 2000 EUR (or local currency equivalent) spending limit during your 12-month membership period (total amount spent after application of the Pro Program discount). Grivel reserves the right to track each individual member's purchases. |
| 6 // | Grivel reserves the right to change the Pro Program Terms and Conditions at any time. Electing to remain a member after a change in the Terms constitutes your acceptance of the revised Terms. Revisions may include, but are not limited to: ceasing to provide a benefit, revision of eligibility criteria, spending limits, and the operation and application of Pro Program discounts. |
| 7 // | The discount and benefits of Pro Program membership are to be kept discreet. Non-eligible, non-member parties interested in Grivel should be referred to the Grivel website. Parties eligible for Grivel Pro Program membership may be referred to the Pro Program application page to submit a personal application. |
| 8 // | Abuse of the Pro Program, including failure to abide by these Terms or the Grivel website Terms of Service (incorporated herein by reference), the sale or barter (or attempted sale or barter) of benefits or promotional offers, excessive returns of qualifying purchases, fraud or tampering with any benefit (including any survey, poll or sweepstakes entry), misrepresentation of fact relating thereto, or other improper conduct as determined by Grivel at its sole discretion, may result in cancellation of a member's membership, future disqualification from Pro Program participation, and cancellation of previously issued but unused benefits. At our discretion we may prosecute abuse of the Pro Program to the fullest extent of the law. |
| 9 // | You agree that participation in the Pro Program, membership in the Pro Program, and use of any products or services related to the Pro Program, including all benefits in connection with the Pro Program, is entirely at your own risk. |
| 10 // | You may cancel your Pro Program membership at any time by writing to Customer Service at shop@grivel.com. |
| 11 // | Grivel is not responsible for events outside its control. If the provision of the Pro Program is affected by an event outside Grivel's control, we will notify members as soon as possible and take reasonable steps to minimise the effect of the event on the Pro Program. To the fullest extent permitted by law, Grivel disclaims any warranties for viruses or other harmful components in connection with the Pro Program and the Grivel website. Some jurisdictions do not allow the disclaimer of implied warranties. In the United Kingdom, the foregoing disclaimers will not apply to you. |
| 12 // | Grivel is responsible to you for foreseeable loss and damage caused by us. If we fail to comply with these Terms, we are responsible for loss or damage you suffer that is a foreseeable result of our breach or our failure to use reasonable care and skill, but we are not responsible for any loss or damage that is not foreseeable. Loss or damage is foreseeable if it is obvious it will happen, or if, at the time the Terms were agreed, both you and we knew it might happen. |
| 13 // | Grivel shall not be liable for damages resulting from your misuse of the Grivel websites, from your inability to use the Grivel websites, or from interruption, suspension or alteration of the Grivel websites due to reasons beyond Grivel's control, except where such loss is caused by Grivel's negligence. Your statutory rights are not affected, and these limitations shall apply to the fullest extent permitted by law. |
| 14 // | You agree to hold Grivel, its officers, subsidiaries, affiliates, successors, assigns, directors, agents, service providers, vendors, suppliers and employees harmless from any claim or demand, including reasonable attorney fees and court costs, made by any third party due to or arising out of your submissions. |
| 15 // | To the fullest extent permitted by law, the Pro Program and these Terms, and any claim or dispute arising out of or relating to the same or to your use of the Grivel websites, will be governed by and construed under the substantive laws of Italy, without reference to conflict-of-laws considerations. |
| 16 // | If any provision of these Terms is held to be unlawful, void or, for any reason, unenforceable, that provision will be deemed severable and will not affect the validity and enforceability of the remaining provisions. |
| 17 // | If a dispute arises, we strongly encourage you to first contact our Customer Service department at shop@grivel.com before starting a judicial proceeding. We value our relationships with our customers and will try to resolve your claims informally and quickly. |
